Terms of service.

Plain-English terms for using Zaquil. The short version: your data is yours, you can leave any time, and a human always approves what goes to your clients.

These terms are a contract between you and Next Source AI Ltd, a company registered in England & Wales ("we", "us"), for the use of the Zaquil software service ("Zaquil" or "the Service"). By creating a workspace or using the Service you agree to them. If you are signing up on behalf of a company, you confirm you have authority to bind it, and "you" means that company.

1. The Service

Zaquil is a hosted workspace for running a service business: shared inboxes for email and messaging channels, client records, a client portal, work queues, automations, calling and messaging, reporting and optional AI assistance. We may improve or change features over time; we will not remove a core feature you are paying for without reasonable notice.

2. Your account and workspace

  • You must give accurate details, keep your password confidential and tell us promptly if you suspect unauthorised access.
  • You are responsible for everyone you invite into your workspace and for what they do in it.
  • You must be at least 18 and using Zaquil for business purposes.

3. Free trial, plans and billing

  • New workspaces get a free trial. When it ends you choose a paid plan or the workspace becomes read-only until you do.
  • Plans are billed in advance, monthly or annually, by card through our payment provider. Prices are shown on the pricing page; taxes are added where required.
  • Subscriptions renew automatically. You can cancel at any time from Settings → Billing; access continues to the end of the period you have paid for. We do not refund partial periods except where the law requires it.
  • If a payment fails we will tell you and retry. If it remains unpaid we may suspend the workspace until it is settled.
  • We may change prices with at least 30 days' notice; changes apply from your next renewal.
  • Zaquil Voice and Zaquil Messaging (phone numbers, calls, SMS and WhatsApp) are usage-based and billed at the rates shown in the app when you order them.

4. Your data

  • Everything you and your clients put into your workspace ("Customer Data") belongs to you. We only use it to provide, secure and support the Service.
  • You are responsible for having the right to store and process the Customer Data you upload, including obtaining any consents your clients' data requires.
  • You can export your data at any time. If you close your workspace, or ask us to, we delete its data within 30 days, except for backups (which expire within a further 14 days) and records we must keep by law.
  • How we handle personal data is described in our Privacy Policy, which forms part of these terms. Where we process personal data on your behalf we act as your processor; a Data Processing Agreement is available on request.

5. Acceptable use

You must not use Zaquil to:

  • send spam or unsolicited marketing, or contact people who have opted out;
  • store or transmit anything unlawful, infringing, defamatory or malicious;
  • attempt to access other workspaces, probe or overload our systems, or reverse-engineer the Service;
  • resell the Service other than through a white-label arrangement agreed with us in writing.

Calls and messages you send through Zaquil must comply with the laws that apply to you, including telemarketing, recording-consent and messaging-consent rules in each country you contact. We may suspend numbers or workspaces that generate complaints or carrier blocks.

6. Third-party services you connect

Connecting a mailbox, a payment account, a phone number or any other third-party service is your choice and subject to that provider's terms. We are not responsible for those services or for changes they make.

7. AI features

AI features draft, summarise and suggest. They can be wrong. A person on your team is always responsible for reviewing anything before it is sent to a client. AI processing can be switched off for a workspace at any time in Settings → Workspace, and is off by default for regulated industry profiles.

8. Templates are not advice

Industry starter packs include sample agreements, letters, forms and policies. They are general templates, not legal, tax, medical or professional advice, and may not suit your jurisdiction. Have them reviewed by a suitably qualified adviser before relying on them.

9. Regulated data

Zaquil is a communications and operations tool. It is not certified for any specific regulatory regime (for example HIPAA) unless we have agreed that with you in writing. Do not store special-category or regulated data unless you have satisfied yourself that your use complies with the rules that apply to you, including any agreements (such as a Business Associate Agreement) those rules require.

10. Availability and support

We aim to keep Zaquil available at all times but do not guarantee uninterrupted service. We take nightly backups of the platform; you remain responsible for keeping your own copies of anything critical. Support is by email and through the in-app contact form during UK business hours.

11. Intellectual property

We own the Service, its software, design and branding. You get a non-exclusive, non-transferable right to use it while your subscription is active. Feedback you give us may be used to improve the Service without obligation to you.

12. Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
  • Otherwise, our total liability to you in any 12-month period is limited to the fees you paid us in that period.
  • We are not liable for loss of profit, revenue, data (beyond restoring from our most recent backup), goodwill, or any indirect or consequential loss.
  • The Service is provided "as is"; we do not warrant it will meet every requirement you have or be error-free.

13. Suspension and termination

You may close your workspace at any time. We may suspend or terminate access if you breach these terms, fail to pay, or if your use creates legal or security risk for us or other customers; where practical we will warn you first and give you a chance to fix the issue. On termination your right to use the Service ends and section 4 applies to your data.

14. Changes to these terms

We may update these terms. For material changes we will notify workspace administrators by email or in the app at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new terms.

15. General

These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction. If any part is found unenforceable the rest still applies. Neither party is liable for delay caused by events outside its reasonable control. You may not transfer this agreement without our consent; we may transfer it to a successor of our business.
